TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 23 January 2012 it transferred 14,438 ordinary shares of 25 pence each from treasury to participants in its employee share plans. The transfer price was 428 pence.

Following the transfer of these shares, the Company holds 3,797,215 of its ordinary shares in treasury and has 146,763,253 ordinary shares in issue (excluding treasury shares).
