TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 24 November 2011 it transferred 42,911 ordinary shares of 25 pence each from treasury to participants in its employee share plans. The transfer price was £nil.

Following the transfer of these shares, the Company holds 4,229,353 of its ordinary shares in treasury and has 146,331,115 ordinary shares in issue (excluding treasury shares).
