TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 4 May 2012 it transferred 6,188 ordinary shares of 25 pence each from treasury to participants in its employee share plans. The transfer price was 436.32 pence.

Following the transfer of these shares, the Company holds 3,610,833 of its ordinary shares in treasury and has 146,970,480 ordinary shares in issue (excluding treasury shares).
