TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 14 May 2012 it transferred 3,049 ordinary shares of 25 pence each from treasury to participants in its employee share plans. The transfer price was 428 pence.

Following the transfer of these shares, the Company holds 3,606,529 of its ordinary shares in treasury and has 146,974,784 ordinary shares in issue (excluding treasury shares).
