TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 3 October 2012 it transferred 134 ordinary shares of 25 pence each from treasury to participants in its employee share plans.  The transfer price was £6.16.  Following the transfer of these shares, the Company holds 3,485,871 of its ordinary shares in treasury and has 147,113,771 ordinary shares in issue (excluding treasury shares).
