DIRECTOR HOLDINGS IN COMPANY

LONDON - Monday, 5th December 2005

Cardinal Resources plc (AIM:CDL), an independent oil and gas exploration and
production company, was notified that Robert J Bensh, Chairman and Chief
Executive Officer of Cardinal, today purchased 11,000 Cardinal Ordinary Shares
at a price of 21p, and 99,200 Cardinal Ordinary Shares at 21.5p.

Mr. Bensh's total holding in the Company now equals 1,193,533 Cardinal Ordinary
Shares, or 1.04% of the issued share capital.
