TOTAL VOTING RIGHTS AND SHARE CAPITAL

Cardinal Resources plc (AIM:CDL) ('Cardinal' or 'the Company'), an independent
oil and gas production and exploration company operating in Ukraine, notifies
the market, in accordance with the Transparency Directive's transitional
provision 6, that the Company's share capital consists of 114,554,108 ordinary
shares of 20p each, with each share carrying the right to one vote. No ordinary
shares are held in treasury.

Therefore, the total number of voting rights in the Company is 114,554,108.

The above figure should be used by shareholders when calculating whether they
are required to notify their interest in, or a change to their interest in, the
Company under the FSA's Disclosure and Transparency Rules.
