Change of Director's holding in CLS Holdings plc ('the Company') 

In accordance with paragraph 16.13 of the Listing Rules I write to inform you
that on 31st March 2003 the Company was informed by Thomas Thomson, a director
of the Company, that he sold 50,000 ordinary shares of 25 pence each in the
capital of the Company at a price of 195 pence per share on 31st March 2003. Mr
Thomson has made it known that he intends to exercise options to purchase a
further 104,000 ordinary shares in the capital of the Company in the near
future.

Mr Thomson is now interested in 25,634 ordinary shares of 25 pence each in the
capital of the Company.
