Change of Director's holding in CLS Holdings plc ('the Company') 

In accordance with paragraph 16.13 of the Listing Rules, and as set out in
paragraph 4 (a) Part IV of the tender offer document, I write to inform you that
on 1st May 2003 the Company received a notice of exercise of options from Thomas
Thomson, a director of the Company, in relation to the exercise by him of
options over 104,000 ordinary shares of 25 pence each in the capital of the
Company. One option for 80,000 ordinary shares granted on 3 May 1996 was
exercised at a price of 98 pence per share and another for 24,000 ordinary
shares granted on 23 July 1997 was exercised at a price of 166.66 pence per
share.

Mr Thomson is now interested in 129,634 ordinary shares of 25 pence each in the
capital of the Company.
