Change of Director's holding in CLS Holdings plc ('the Company') 

In accordance with paragraph 16.13 of the Listing Rules I write to inform you 
that on 28 June, 2004 the Company received a notice of exercise of options from 
Mr Dan Baverstam, a director of the Company, in relation to the exercise by him 
on 28 June 2004 of options over 69,000 ordinary shares of 25 pence each in the 
capital of the Company. The options were granted on 23 July, 1997 at a price of 
166.66 pence per share.

Consequent on the exercise of the options, Mr Baverstam sold in the market a 
total of 35,500 Ordinary shares thus acquired to meet loan and trading 
obligations in relation to the exercise. He retained the balance of 33,500 
Ordinary shares.

Mr Baverstam is now interested in 109,307 ordinary shares of 25 pence each in 
the capital of the Company.
