                        GUINNESS PEAT GROUP ANNOUNCEMENT

Guinness Peat Group plc ("GPG") announces that it has today published the
following documents and that copies are available for inspection at the Document
Viewing Facility of the UK Listing Authority:

  • Guinness Peat Group plc Annual Report and Accounts 2004 containing Notice
    of the Annual General Meeting to be held on 11 May 2005 ("AGM").

  • Guinness Peat Group plc Summarised Annual Report and Accounts 2004 also
    containing Notice of the AGM.

  • Circular from GPG explaining to shareholders the Scrip Dividend
    Alternative being offered in lieu of its Final Cash Dividend, details of the
    proposed Capitalisation Issue, and giving notice of an Extraordinary General
    Meeting also to be held on 11 May 2005 ("EGM") immediately to follow the
    AGM.

  • Proxy Forms relating to the aforesaid AGM and EGM.

  • Forms of Election and Notices of Entitlement and Currency Election Forms
    in connection with the Scrip Dividend Alternative to the Final Cash Dividend
    in respect of the year ended 31 December 2004.
