Guinness Peat Group ("GPG") announces the following changes in directors' interests following the
allotment of shares on 22 June 2007 pursuant to the 2007 Capitalisation Issue which were issued to
existing shareholders on 25 June 2007:

1.     Interests in the ordinary shares of Guinness Peat Group plc

2.     Interests in options over the ordinary shares of GPG under the Company's share option schemes

       As a result of the 2007 Capitalisation Issue, under which a bonus issue of new shares was made at
       the rate of 1 new share for every 10 shares held, options held under the Company's share option
       schemes have also been adjusted.  As a consequence Directors' interests in the Company's share
       options are now as follows:
