Pursuant to Disclosure and Transparency Rule 3.1.4, Guinness Peat Group plc ("GPG") announces the following change in directors' interests following an exercise of share options over ordinary shares of GPG ("Shares").

On 3 June 2008, Tony Gibbs exercised two options to acquire 1,037,488 Shares at a price of 21.9759p per Share. These Shares have been registered on the New Zealand branch register.

Tony Gibbs is now interested in 7,241,427 Shares, which is 0.51% of GPG's issued share capital and consequent total voting rights.
