               AUSTRALIAN STOCK EXCHANGE SECONDARY TRADING NOTICE


This announcement is not for release, distribution or publication, whether
directly or indirectly and whether in whole or in part, into or in the United
States, Canada and Japan, and it does not constitute an offer of securities for
sale into any of those jurisdictions.  It is a copy of an Announcement made by
Guinness Peat Group plc on the Australian Stock Exchange in accordance with its
obligations there and is released in London for information only.


"In accordance with Guinness Peat Group plc's ("GPG") obligation as a listed
issuer in Australia, in respect of the 51,000,000 ordinary shares of 5p each
which GPG has announced that it has issued, GPG is providing the following
Notice under the Australian Corporations Act 2001:


Secondary Trading Notice


In accordance with section 708A(5)(e) of the Corporations Act 2001 (Australia)
("the Act"), GPG advises that:


(a)  GPG issued 51,000,000 fully paid ordinary shares in GPG ("the
Shares") and caused the issue of the CDIs on 13 April 2006 (in Australia)
without disclosure to investors under Part 6D.2 of the Act;

(b)  this announcement constitutes a notice given under paragraph (5)
(e) of section 708A of the Act;

(c)  as at the date of this notice GPG has complied with section 674
of the Act;

(d)  as at the date of this notice GPG has complied with the
provisions of Chapter 2M of the Act as they apply to GPG; and

(e)  as at the date of this notice, there is no information that has
been excluded from a continuous disclosure notice in accordance with the listing
rules of the Australian Stock Exchange and that investors and their professional
advisers would reasonably require for the purpose of making an informed
assessment of:

a.   the assets and liabilities, financial position and performance, profits and
losses and prospects of GPG; or

b.   the rights and liabilities attaching to the Shares
