                           2007 CAPITALISATION ISSUE


Guinness Peat Group plc ("GPG") announces that at 5pm on Friday 22 June 2007 it
allotted 115,599,868 Ordinary shares of 5p each ("Shares") in respect of its
2007 Capitalisation Issue.  These will be issued on Monday 25 June to its
shareholders on the UK, Australian and New Zealand share registers.  Of this
number 21,312,983 Shares will initially be registered on the Australian register
in the form of CDIs.



Following the allotment in respect of the 2007 Capitalisation Issue GPG's issued
shares and consequent voting rights total 1,271,747,106.
