                              ENZA LIMITED (NEW ZEALAND)

                            
On 20 March 2002 Guinness Peat Group plc and its subsidiary companies ('GPG')
announced its intention to make an offer ('the Offer') to acquire all the shares
it did not already hold in ENZA Limited ('ENZA'), a company in New Zealand
involved in the fruit industry.


On 17 April 2002 the Offer became unconditional on its minimum acceptance
condition being fulfilled.
