"Disclosure of Interest in Shares Pursuant to Rule 3 of the Substantial 
Acquisitions Rules of the Panel on Takeovers ant/Mergers

Guinness Peat Group plc and its subsidiary companies ("the Group") hereby notify
Charter plc ("Charter") that following the market purchases of 1,100,000 of 
Ordinary 2 pence shares ("Shares") on 4 February 2004 and 760,000 Shares on 
5 February 2004, the Group 's interest in the Shares of Charter now amounts to 
19,680,687 representing 20.90% of the issued share capital."
