DISCLOSURE UNDER RULE 3 OF THE RULES GOVERNING
SUBSTANTIAL ACQUISITION OF SHARES:
DAWSON INTERNATIONAL PLC

Guinness Peat Group plc and its subsidiary companies ('GPG') announce that,
following on-market transactions in the shares of Dawson International PLC
('Dawson'), on 28 September 2000 it increased its holding of Shares to
21,073,583 ordinary shares of 25p each in Dawson ('Shares') representing 21.00%
of the issued share capital of Dawson.

So far as the Group is aware, no person interested in the Shares is party to any
agreement or arrangement relating to the exercise of any rights conferred by
holding the shares subject to this notification.
