Update on Share Buyback

On 25 October 2012 the Company announced its intention to buy back ordinary shares up to a value of £70 million and since then has been reporting purchases in accordance with applicable law and regulation. The Company has also issued total voting rights announcements as required by UK Disclosure and Transparency Rule ("DTR") 5.6.

This announcement is being issued to assist in providing further clarification as to the status of the share buyback and the subsequent cancellations of ordinary shares as at 31 December 2012, the Company's financial year end.

Shareholders and market participants should note that the Company's total voting rights announcements are made in accordance with the DTRs regarding the Company's total issued voting share capital. Such announcements are only required to be made at the intervals specified under the DTRs and relate to the total number of the Company's voting shares in issue. Until any share purchases effected by the Company have settled, and the relevant shares cancelled, there is no effect on the Company's total issued voting share capital and any such change to the Company's total issued voting share capital would only fall to be disclosed at the next interval specified under the DTRs. As at 31 December 2012, 23,480,921 shares had been purchased by the Company but had not yet been cancelled.

The Company will make a similar clarificatory announcement following the end of each calendar month whilst the share buyback continues.
