EmdexTrade plc ('Company' or 'Emdex') announces that pursuant to an agreement
dated 30 April 2003 between the Company and CCH Europe Gmbh ('CCH') (a company
controlled by Eren Nil), the amount of £300,000 owed to CCH pursuant to a loan
facility will be satisfied by the issue of 4,444,444 Ordinary Shares to CCH.
Admission of these Ordinary Shares to trading on AIM is expected following the
forthcoming Annual General Meeting. 

In addition, on 30 April 2003, the following transfers of shares to Nabucca
Company Limited (a company controlled by Eren Nil) took place for nominal
consideration:

1  S C Corley transferred 3,200,000 Ordinary shares, 3,555,556 Deferred
   'A' shares and 1,777,778 Deferred 'B' shares;


2. L A Hollender transferred 3,200,000 Ordinary shares, 3,555,556
   Deferred 'A' shares and 1,777,778 Deferred 'B' shares;

3. K I Mackay transferred 640,000 Ordinary shares, 711,111 Deferred
   'A' shares and 355,555 Deferred 'B' shares;



4. S A Wiggans transferred 1,920,000 Ordinary shares, 2,133,333 Deferred
   'A' shares and 1,066,667 Deferred 'B' shares.



Following these transfers Eren Nil will be beneficially interested in 37,404,444
Ordinary Shares representing 84 per cent of the issued ordinary share capital of
the Company (as enlarged by the issue of ordinary shares referred to above).

Stephen Corley, a director, has resigned from the board with effect from 29
April 2003.  The board of Emdex wish to thank Mr Corley for his contribution to
the Company and in particular for his efforts in establishing and listing the
company on AIM.
