COHORT PLC ("Cohort")
EBT Purchase
The Company was notified yesterday by the trustees of the Cohort Employee Benefit Trust ("EBT") that the EBT purchased a total of 300,000 ordinary shares of 10 pence each in the Company on 29 November 2010 at a price of 83.0 pence per share. The shares held in the EBT are intended to be used to satisfy future awards made under the Cohort plc 2006 Share Option Scheme and the Cohort PLC Savings Related Share Option Scheme.
The EBT is a discretionary trust for the benefit of employees of Cohort plc and its subsidiaries and is registered in the name of Cohort EBT Trustee Ltd. The Executive Directors of Cohort plc are included as potential beneficiaries under the EBT and are deemed to be interested in those shares and the dealings thereof.
Following these transactions, the EBT holds 361,446 ordinary shares representing 0.89 per cent of the Company's total voting rights.
