Update on Acquisition of SEA (Group) Ltd and Board Appointment
Cohort plc ('Cohort' or the 'Company') announces that the offer for SEA (Group)
Ltd ('SEA'), which became wholly unconditional on 17 October 2007, has been
extended and will remain open for acceptance until 1.00p.m. on 7 November 2007
(unless extended by way of a further announcement).
At 1:00pm on 24 October 2007 valid acceptances of the offer have been received
in respect of 99.0 per cent. of the existing issued share capital of SEA. In
respect of acceptances received between 1:00pm on 15 October 2007 and 1:00pm on
24 October 2007, the Company has applied for a further 217,293 shares to be
admitted to the AIM market of the London Stock Exchange. It is expected that
these shares will be admitted to AIM on 1 November 2007.
Cohort is also pleased to announce that Ian Peter Dale-Staples (54), Chief
Executive of SEA, has been appointed to the board of Cohort with effect from 25
October 2007.
Mr Dale-Staples has a beneficial shareholding in Cohort of 2,063,089 ordinary
shares representing 5.1 per cent. of the issued share capital of the Company.
