Share Options
Option Grant
Cohort announces that on 13 August 2013 the following approved options over ordinary shares of 10 pence each were granted to Cohort directors pursuant to the Cohort plc Savings Related Share Option Scheme established on 16 February 2006 (and approved by HM Revenue & Customs on 10 April 2006) ("SAYE Scheme"):

The options are made pursuant to three year savings contracts.
Option Exercise
Cohort announces that it has issued and allotted 170,164 new ordinary shares of 10p each in the capital of Cohort pursuant to the exercise of share options under the Cohort plc 2006 Share Option Scheme and the SAYE Scheme.
Following this exercise, Cohort's issued share capital consists of 40,958,616 ordinary shares of 10p each with voting rights. Cohort does not hold any shares in treasury.
Therefore, the total number of voting rights in Cohort is 40,958,616. This figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, Cohort under the FCA's Disclosure and Transparency Rules.
Application has been made for admission of these shares to trading on AIM and dealings in the new ordinary shares are expected to commence on 19 August 2013.
