Directors' Notification of Dealing in Shares

On 20 July 2000 the trustees of the Colefax Group plc Employees Share
Ownership Plan Trust purchased 250,000 ordinary shares in the company at a
price of 64p per share. The total number of shares owned by the ESOP now
amounts to 904,946  representing 3.52 % of the issued ordinary share capital.
Mr D B Green, Mrs A Grafton, Ms W Nicholls, Mr R M Barker and Ms K Hall, the
executive directors of the Group, are included as potential beneficiaries
under the ESOP and have notified the company of their technical interest in
the shares purchased by the ESOP.
