COMPASS GROUP PLC: DIRECTOR/PDMR SHAREHOLDING

Compass Group PLC (the "Company") announces the following changes in the interests of Directors and Persons Discharging Managerial Responsibility ("PDMR") in ordinary shares of 10 pence each in the share capital of the Company ("Shares").

On 3 March 2010, Takeshi Kohjima, a PDMR, who is responsible for the Group's Japanese business, exercised 150,000 and 55,500 share options at option prices of 422.00 pence and 292.50 pence respectively.  He disposed of 161,837 Shares at 492.6768 pence per Share in order to meet his resultant liabilities and retained the remaining 43,663 Shares.

On 2 March 2010, Gary Green, a Director, who is responsible for the Group's US, Canadian and Mexican businesses, exercised 458,750 options at an option price of 371.60 pence and retained all of the resulting Shares.

At the same time, Mr Green sold 313,711 Shares at a price of 498.317 pence per Share and also exercised 129,500 and 300,000 share options at option prices of 292.50 pence and 316.25 pence per Share respectively which were all disposed of at 498.317 pence per Share.   

On 3 March 2010, Mr Green exercised 450,000 and 500,000 share options at an option price of 229.25 pence and 320.00 pence respectively and disposed of the resulting Shares at 492.6768 pence. 

Following these transactions, Mr Kohjima has acquired a holding in the Company and Mr Green's shareholding has increased.  They are interested in Shares as shown below:
