COMPASS GROUP PLC: DIRECTOR/PDMR SHAREHOLDINGS

Compass Group PLC (the "Company") announces the following changes in the interests of Directors and Persons Discharging Managerial Responsibility ("PDMR") in ordinary shares of 10 pence each in the share capital of the Company ("Shares").

1.  Long-Term Incentive Plan:  2011/12 Award

On 25 November 2011, an award was made under the Compass Group PLC Long Term Incentive Plan 2010 ("Plan") to the Directors and PDMRs detailed below.

The number of Shares shown is the maximum available if the corporate performance conditions for the period, which commenced on 1 October 2011 and ends on 30 September 2014, are satisfied in full.  There will be no retesting of the award.

Under the Plan, participants may become entitled to Shares if the Company satisfies stringent corporate performance targets based upon Total Shareholder Return relative to companies in the FTSE 100 index (excluding its financial services constituents), and Free Cash Flow, each relating to 50% of an award.  

2.  Long-Term Incentive Plan: 2008 Release

On 24 November 2011, the following Directors and PDMRs requested the release of vested awards made on 28 November 2008 under the Compass Group Long-Term Incentive Plan (which were granted for nil consideration) following satisfaction of both the Free Cash Flow and Total Shareholder Return performance conditions in the three years ended 30 September 2011, and the following Shares were issued:

The Shares noted below were sold on 25 November 2011 at 552.147 pence per Share in order to realise sufficient funds to settle resultant UK and/or overseas tax and social security liabilities arising from such issue:

A further 34,955 Shares were disposed of by Mr Furlong, 31,282 Shares by Ms Kingston and 34,994 Shares by Mr White respectively, all at the same time and at the same price.

3.  Exercise of Share Options

On 24 November 2011, Miguel Ramis exercised 250,000 options at an option price of 422.00 pence, 100,000 options at 320.00 pence, 125,000 options at 316.25 pence and 100,000 options at 229.25 pence respectively.   He disposed of all of the resulting Shares at 552.0304 pence per Share on the same day.

4.  Disposal of Shares

On 24 November 2011, Gary Green sold 323,522 Shares at a price of 552.0304 pence per Share.
