NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Compass Group PLC (the "Company") announces the following changes in the interests of Directors and Persons Discharging Managerial Responsibility ("PDMR") in ordinary shares of 10 pence each in the share capital of the Company ("Shares").

Share Option Exercise and Long-Term Incentive Plan Release

On 5 January 2011, Miguel Ramis, a PDMR who is responsible for the majority of the Group's European and Latin American businesses, requested the release of an award made to him under the Long-Term Incentive Plan (which was granted for nil consideration) following satisfaction of both the Free Cash Flow and Total Shareholder Return performance conditions in the three years ended 30 September 2010 and 275,228 Shares were accordingly issued on 6 January 2011. 

On 5 January 2011, Gerhard Poelzl, a PDMR who is responsible for the Company's business in the Pacific region, exercised a total of 50,000 options at 210.00 pence each.

Following these transactions, Mr Ramis' shareholding has increased to 925,228 Shares and Mr Poelzl's shareholding has increased to 138,237 Shares, representing 0.0489% and 0.0073% of the Company's issued share capital respectively.
