NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Compass Group PLC (the "Company") announces the following change in the interests of a Director in ordinary shares of 10 pence each in the share capital of the Company ("Shares").

On 29 March 2012, Sir Roy Gardner, Chairman, gifted for nil consideration 700 Shares to his son, Andrew Gardner, and a further 700 Shares to each of his daughters, Natalie Newby-Ricci and Danielle Gardner. 

Following these transactions, Sir Roy Gardner's shareholding is 194,778 Shares, representing 0.0103% of the Company's issued share capital.
