NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Compass Group PLC (the "Company") announces the following change in the interests of a Director in ordinary shares of 10 pence each in the share capital of the Company ("Shares").

On 24 May 2013, Sir Roy Gardner, Chairman, gifted for nil consideration 700 Shares to each of his three adult children. 

Following these transactions, Sir Roy Gardner's shareholding has reduced by 2,100 to 192,678 Shares, representing 0.0106% of the Company's issued share capital.
