Adjourned Meeting of Holders of
Compass Group Holdings PLC
£200,000,000 7.125 per cent. Bonds due 2010 (the Bonds)
The Company yesterday published a notice in the London edition of the
Financial Times stating than an adjourned meeting of holders of the Bonds held
on 6 February 2001, reconvened from a meeting held on 10 January 2001, the
Extraordinary Resolution set out in the Notices published on 19 December 2000
and 26 January 2001 was duly passed.
Accordingly, subject only to the admission of the Bonds to the Official List
of the UK Listing Authority as Bonds of Compass Group PLC and to trading on
the London Stock Exchange's market for listed securities, which is expected to
take place on or about 13 February 2001 (all other conditions having been
satisfied prior to the date of this announcement), Compass Group PLC will be
substituted as principal debtor under the Bonds and the Trust Deed and the
terms and conditions of the Bonds will be amended as contemplated in the
Notice dated 19 December 2000.
