On 17 March 2015, Computacenter plc (the "Company") was notified that Greg Lock, the non-executive chairman of the Company, had on the same day, transferred 47,014 ordinary shares ("Ordinary Shares") of the Company to the Greg and Rosie Lock Foundation Charitable Trust for nil consideration (the "Transfer"). The Greg and Rosie Lock Foundation Charitable Trust is a charitable trust of which Greg Lock is a Trustee. This transaction represented approximately 0.038% of the issued share capital.
Following the Transfer, Greg Lock's beneficial holding was 305,922 Ordinary Shares, representing approximately 0.25% of the Company's issued share capital, and The Greg and Rosie Lock Foundation Charitable Trust's beneficial holding in the Company was 69,854 Ordinary Shares, representing approximately 0.057% of the Company's issued share capital.
On 18 March 2015, the Company was additionally notified that The Greg and Rosie Lock Foundation Charitable Trust had, on the same day, sold 39,854 Ordinary Shares at an average price of £7.33 per share (the "Sale"). The transaction represented approximately 0.032% of the issued share capital. Following the Sale, The Greg and Rosie Lock Foundation Charitable Trust's beneficial holding in the Company is 30,000 Ordinary Shares, representing approximately 0.025% of the Company's issued share capital.
