On 26 March 2015, in accordance with the rules of the Computacenter Performance Share Plan 2005 (the Company's LTIP), the Company granted conditional awards, over ordinary shares of 7⁵/₉p each, at a price of 720 pence (the closing mid-market price on 25 March 2015, being 720 pence), to the following Directors/Persons Discharging Managerial Responsibility (PDMR):

Performance Criteria

The release of the awards to the six participants listed above is dependent upon the satisfaction of performance conditions, based on (i) the Group's compound annual EPS growth rate, commencing on 1 January 2015 and ending on 31 December 2017 (the "Performance Period") and (ii) growth of the Group's Services Revenue over the Performance Period.

Performance Criteria

The release of the awards to the four participants listed above is dependent upon the satisfaction of performance conditions, based on the Group's compound annual EPS growth rate, commencing on 1 January 2015 and ending on 31 December 2017.

All of the awards set out above will be satisfied out of shares held by the Computacenter Employee Share Ownership Plan.
