Performance Criteria

Options become exercisable if the average annual compound growth in the
Company's earnings per share (on a pre-exceptional, post investment in the
Biomni joint venture, fully diluted basis) compared to the base year of 2002, is
at least equal to RPI plus 5% in any of the three, four or five year periods up
to and including 2005,2006 or 2007, respectively.
