Director's Dealing, Exercise of Options and Issue of Equity

Regency Mines PLC ('Regency' or the 'Company') was notified on 21 August 2009 that Andrew Bell, Chairman of the Company, had disposed of 2,250,000 ordinary 0.1p shares ('Ordinary Shares')  in the Company at an average price of 3.38 pence per Ordinary Share on the same day.

On 21 August 2009, Mr Andrew Bell also exercised 2,250,000 options to subscribe for Ordinary Shares in the Company at a price of 1 pence per share ('New Ordinary Shares').

As a result of this disposal and exercise of options, Andrew Bell remains interested in 43,744,282  Ordinary Shares in the Company. Of these 43,744,282 Ordinary Shares, only 100,002 are held by Mr. Bell directly. The remainder are held by companies in which Mr. Bell is interested. This holding represents 12.18 per cent. of Regency's issued ordinary share capital, as enlarged by the New Ordinary Shares.

In addition to Andrew Bell's interest in the Ordinary Share Capital of the Company stated above, Mr. Bell remains interested in the following options to subscribe for the Company's Ordinary Shares.

Application has been made for the New Ordinary Shares, which rank pari passu with the Company's existing issued ordinary share capital, to be admitted to trading on AIM. It is expected that the admission of the New Ordinary Shares to trading on AIM will occur on 27 August 2009.

Following the issue and allotment of the new Ordinary Shares, the Company will have 359,057,330 ordinary shares in issue.
