Director's Dealing, Exercise of Options and Issue of Equity

Regency Mines PLC ("Regency" or the "Company") has been notified that the interests of Andrew Bell, Chairman of the Company, in the Company have been reduced by the disposal yesterday of 2,000,000 ordinary 0.1p shares ("Ordinary Shares") in the Company at an average price of 1.2 pence per Ordinary Share.

Andrew Bell yesterday also exercised 250,000 options to subscribe for Ordinary Shares in the Company at a price of 1 pence per share ("New Ordinary Shares").

As a result of this disposal and exercise of options, Andrew Bell is interested in 41,994,282 Ordinary Shares in the Company, of which 100,002 are held directly. This interest represents 10.38 per cent. of Regency's issued ordinary share capital.

In addition to Andrew Bell's interest in the Ordinary Share Capital of the Company stated above, Mr. Bell remains interested in the following options to subscribe for the Company's Ordinary Shares.

Application will been made for the New Ordinary Shares, which rank pari passu with the Company's existing issued ordinary share capital, to be admitted to trading on AIM. It is expected that the admission of the New Ordinary Shares to trading on AIM  will occur on 4 February 2010.

Following the issue and allotment of the new Ordinary Shares, the Company will have  404,756,777  ordinary shares in issue.
