                    Appointment of a new non-executive director

The Board of Costain Group PLC ('Costain') is pleased to announce that John M
Bryant MA (Cantab), FREng, FIM, CEng, DSc has been appointed to the Board of
Costain as a non-executive director, with effect from 1 February 2002.

Mr Bryant is a non-executive director of Welsh Water Plc.  He was Chief
Executive of British Steel Plc (1999) having been appointed to the Board of that
Company in 1996.  He was joint Chief Executive of Corus Group plc  (1999 -
2000).  Mr Bryant was also a non-executive director of Bank of Wales plc (1996 -
2001).

In respect of Mr Bryant there are no details to report under paragraph 6F 2(b)
to (g) of the UK Listing Authority Listing Rules.
