                                 Board change


Mr Miles W Roberts, the Finance Director of Costain Group PLC, has advised the
Company that he intends to resign from the Board of Costain Group PLC in order
to take up another appointment.  Mr Roberts' effective resignation date has
not yet been agreed but is likely to be towards the end of 2001.
