Board Resignation


Costain announces the resignation of Mr Azman Sulaiman from the Group Board
following his appointment to a new position within the UEM Group of Companies.
Mr Sulaiman was one of the directors due to retire by rotation at this year's
Annual General Meeting on 8 May 2008.

The resolution to re-elect him as set out in Resolution 3(d) in the Notice of
Meeting dated 11 March 2008 will now not be put to the meeting. Mr Sulaiman's
resignation will take effect from 7 May 2008. Chairman, David Allvey,
commented: 'We are grateful for all Azman's efforts on behalf of Costain and
wish him well in his new job.'
