STAFFAN BERTIL SCHELE, a nominee of Skanska Invest AB was appointed to the Board
of Costain Group PLC as a non-executive director with effect from Wednesday, 25
August 1999.  Mr Schele has not held a directorship in a publicly quoted
company on the London Stock Exchange or any overseas stock exchange in the last
five years.  There are no details to report in respect of paragraphs 6.F 2(b) to
(g) of the Listing Rules.  Mr Schele is the Head of Corporate Finance for
Skanska AB of Sweden.

On 25 August 1999 Lennart Mikael Ekdahl, also a nominee of Skanska Invest AB,
resigned from the Board of Costain Group PLC.
