2009 FINAL DIVIDEND - SCRIP ALTERNATIVE
Costain announces that, further to approval by shareholders at the Company's AGM on 6 May 2010 of the scrip dividend scheme, elections have been made by shareholders to receive 37,358 ordinary shares of 50p each in the Company ("Shares") in lieu of cash in respect of all or part of their final dividendfor the year ended 31 December 2009 ("Final Dividend"), to be paid on 21 May 2009.
Application has therefore been made for the admission ("Admission") of 37,358 new Shares to the Official List of the UK ListingAuthority and to trading on the London Stock Exchange's market for listed securities. The new Shares will rank pari passu with the Company's existing issued Shares and dealings are expected to commence on Friday, 21 May 2009.
The resultant interests, upon Admission, of certain Directors who have elected to receive the Interim Dividend in the form of shares is set out below:

Upon Admission the total number of Shares in issue, and therefore the total number of voting shares, is 63,462,229 Shares. There are no shares held in Treasury. The above figure may be used by shareholders to determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Service Authority's Disclosure and Transparency Rules.
