COSTAIN GROUP PLC
DATO' DR RAMLI bin MOHAMAD, a nominee of Daedalus, Projects Limited was
appointed to the Board of Costain Group PLC as a non-executive director with
effect from Thursday, 28 September 2000. Dato' Dr Ramli bin Mohamad was a
Director of Kinta Kellas PLC from 1 January 1996 until 1 April 1997 which is
listed on the London Stock Exchange as well as the Kuala Lumpur Stock Exchange
but save for that Dato' Dr Ramli bin Mohamad has not held a directorship in a
public quoted company on the London Stock Exchange in the last five years. Dato'
Dr Ramli bin Mohamad is the Executive Vice-Chairman of Intria Berhad and
Managing Director of United Engineers (Malaysia) Berhad and he is also a
Director of Renong Berhad, Projek Penyelenggaraan Lebuhraya Berhad, Ho Hup
Construction Company Berhad, Pharmanlaga Berhad and Cement Industries of
Malaysia Berhad all of which Companies are listed on the Main Board of the Kuala
Lumpur Stock Exchange except for Pharmanlaga Berhad which is listed on the
Second Board of the Kuala Lumpur Stock Exchange. There is no information to
disclose in respect of paragraphs 6 F 2 (b) (c), (e) (f) or (g) of the Listing
Rules. The Information required under paragraph 6 F 2 (d) of the Listing Rule is
set out in the attached appendix below.
On Thursday, 28 September 2000 Dato' Jaafar bin Dato' Abdul Hamid, the
non-executive Chairman, and Mr George Anthony David Dass, both nominees of
Daedalus Projects Limited, resigned from the Board of Costain Group PLC.
On Thursday, 28 September 2000 Dato' Dr Ramli bin Mohamad was elected as the
non-executive Chairman of the Board of Costain Group PLC on an interim basis
pending the appointment of a new Chairman for the longer term.

APPENDIX PROVIDING INFORMATION IN RESPECT PARAGRAPH 6 F 2 (d) OF THE
LISTING RULES IN RESPECT OF DATO' DR RAMLI BIN MOHAMAD
The following are details of the Companies previously involved or currently
involved in debt restructuring of which Dato' Dr Ramli bin Mohamad is currently
an Executive Director :-
1. a) United Engineers (Malaysia) Berhad ('UEM') (being an associated company
of Renong Berhad) and
b) Renong Berhad
Completed their debt restructuring on 30 September 1999 concurrently via the
issue of a total of RM8,368.5 million (in present day value) bonds by UEM's
wholly owned subsidiary, Projek Lebuhraya Utara-Selatan Berhad ('PLUS').
- Principal activities of UEM
i) Project design, management and contracting in the fields of civil, electrical
and mechanical engineering
ii) The undertaking of turnkey projects; and
iii) Investment holding
- Principal activities of Renong Berhad
- Project procurement and management and strategic investment company.
2. Linkedua (Malaysia) Berhad
A wholly owned subsidiary of UEM, completed its debt restructuring on 21 June
2000 via the issue of RM2,956,386,587 nominal value zero coupon redeemable
secured serial bonds due 2011-2020 by another wholly-owned subsidiary of UEM,
Hartanah Lintasan Kedua Sdn Bhd.
Principal activities
- Undertakes the design, construction, management, operations and maintenance
of the Malaysian side of the Malaysia-Singapore Second Crossing, connecting
expressways and construction of the Custom, Immigration and Quarantine Complex.

3. Intria Berhad
Completed the issuance of Bonds by its wholly-owned subsidiary, Penang Bridge
Sdn Bhd pursuant to RM785.0 million facility for the purpose of the Intria Group
debt restructuring on 30 August 2000.
Principal activities
- Civil engineering and construction, management services and toll-road
management, maintenance and operation.
4. Expressway Lingkaran Tengah Sdn Bhd (ELITE)
Currently implementing the restructuring of its financial debts, as follows:-
- RM400 million Fixed Rate Bond
- RM440 million Floating Rate Notes
- RM100 million Bridging Loan Facilities
Principal activities
- Undertakes the design, construction, management, operations and
maintenance of the North-South Expressway Central Link
The following are details of a company which is in receivership of which Dato'
Dr Ramli bin Mohamad was an Executive Director during the period 1 April 1997 to
15 April 1999:
Mekar Idaman Sdn Bhd (in Receivership)
Receiver appointed on 20 July 1998 as result of default in payment on term loan
facility of RM550.0 million. Receiver in the midst of asset disposal exercise.
Principal activity: Investment holding
