Sale of Shares


Costain Group PLC (the 'Company') announces that it has been notified on 4 May
2004 that one of its major shareholders, Raymond International WLL ('Raymond
International'), has sold 3,500,000 Ordinary Shares in the Company on 30 April
2004.

Following this notification Raymond International's holding in the Company is
19,462,500 Ordinary Shares, representing 5.51% of the Company's issued share
capital.
