CITY NATURAL RESOURCES HIGH YIELD TRUST PLC (THE 'COMPANY')
RESULTS OF GENERAL MEETINGS,
ANNOUNCEMENT OF ISSUE PRICE AND BASIS OF ALLOCATION
The board of the Company (the 'Board') is pleased to announce that all
resolutions put to the annual general meeting held today were passed.
On 3 October 2003, the Company published a prospectus (the 'Prospectus') in
connection with proposals to increase substantially the size of the Company
through an issue of new ordinary shares by means of a placing and offer for
subscription. The Board is again pleased to announce that, at the extraordinary
general meeting and the warrantholders' meeting both of which were held today,
shareholders and warrantholders overwhelmingly voted in favour of the
resolutions proposed including amending the Company's investment policy to allow
investment in other investment companies up to a maximum of 15 per cent. of the
Company's gross assets (and further including the resolution to cancel the
Company's share premium account which is subject to the approval of the Court).
The placing and offer for subscription were over subscribed. However, a number
of placees agreed to having their placing commitments scaled back to allow all
valid applications received under the offer for subscription to be met in full.
In total £30 million was therefore raised through the issue for the Company
prior to expenses.
In accordance with the Prospectus and based on the Company's net asset value of
68.63p per share as at 27 October 2003, the issue price per new ordinary share
is 70p. As detailed in the Prospectus, the subscribers for new ordinary shares
incurred all the costs of the issue through the issue price.
Accordingly, 42,857,143 new ordinary shares of the Company were allotted by the
Company under the placing and offer for subscription conditional on such new
ordinary shares being admitted to the Official List and to trading on the London
Stock Exchange.
It is expected that admission to the Official List and commencement of dealings
in the new ordinary shares on the London Stock Exchange will take place on 31
October 2003.
Following the issue of new ordinary shares the Company will have 62,857,143
ordinary shares and 4,000,000 warrants in issue.
As at 27 October 2002 the Company had total assets of £16.9 million (inclusive
of £2.5 million of short term borrowing). This together with the net proceeds
from the placing and offer for subscription will result in total assets of
approximately £46.3 million upon admission.
