Application will be made for a total of 17,640,649 Ordinary Shares of euro 0.32
each (' the Shares') to be admitted to (a) the Official Lists of the Irish Stock
Exchange and the UK Listing Authority and (b) trading on the London Stock
Exchange Plc's market for listed securities.

Admission is expected to be granted on 26th March 2002.

Of the 17,640,649 Shares, 15,598 shares have been issued under the Employee
Share Participation Scheme and 51 Shares have been issued under the 2000
Savings-Related Share Option Scheme (Republic of Ireland). These Shares rank
pari passu with the existing Ordinary Shares.

The balance of 17,625,000 Shares is being reserved under a block listing and
will be issued pursuant to the following schemes:
