                           SHAREHOLDING NOTIFICATIONS

The Company has been informed that ROO Media Corporation ('RMC'), a wholly owned
subsidiary of Virilitec Industries, Inc (NASDAQ VRLT.OB) ('VI'), has, in a
series of purchases since 1 January 2004, acquired an aggregate holding of
686,000 Ordinary Shares of 20p each in the Company representing 4.5 per cent of
the Company's issued share capital. The shares have been purchased at prices
ranging from 4p to 7.5p per share.

The Company is also aware that Robert Petty holds 350,000 Ordinary Shares of 20p
each in the Company and Michael Neistat, holds 450,000 Ordinary Shares of 20p
each in the Company representing 2.3 per cent and 3.0 per cent of the Company's
issued share capital respectively. Robert Petty and Michael Neistat are
Directors of RMC and former Directors of Cohen.

RMC and Cohen are both shareholders in ROO Media Europe Limited which was
established to resell RMC digital media solutions within the European markets.
RMC has a holding of 76 per cent of the issued share capital and Cohen has a
holding of 24 per cent.
