Croda announces that Abbey National AESOP Trustees Limited acquired on 12
December 2005, 8,082 ordinary shares in the company for the purpose of the Croda
International Plc Share Incentive Plan at a price of 451p per share.  These
shares will be used to satisfy employees' contributions to the Plan deducted
from their November pay.  The directors and persons discharging managerial
responsibility, as contributors to the plan, have acquired the following
interest in the shares:-
