Croda announces that Abbey National AESOP Trustees Limited acquired on 11 July
2005, 8,993 ordinary shares in the company for the purposes of the Croda
International Plc Share Incentive Plan at a price of 383.75p per share.  These
shares will be used to satisfy employees' contributions to the Plan deducted
from their June pay.  The directors, as contributors to the plan, have acquired
the following interest in the shares:-
