Croda International Plc - Notifications of Interests of Directors

On 11 December 2001 Keith George Grant Hopkins, a director of this company,
sold 12,000 Croda Ordinary Shares of 10p each and his wife, Mrs June Margaret
Hopkins, sold 19,324 Croda Ordinary Shares of 10p each.  The shares were sold
at 240p each and represented less than 0.1% of the issued ordinary share
capital of Croda International Plc.

On 12 December 2001 Keith George Grant Hopkins exercised a Senior Executive
Share Option over 40,000 Croda Ordinary Shares at an option price of 160p per
share.  40,000 shares represent less than 0.1% of the issued ordinary share
capital of Croda International Plc.  The Company was informed of the sale of
the shares on 11 December 2001 and of the exercise of the option on 12
December 2001.  Following these transactions Dr Hopkins' total holding is
172,069 Croda Ordinary Shares of 10p each representing 0.126% of the issued
ordinary share capital of the Company.
