Notification of interests of directors and connected persons


On 26 April 2002 Michael Humphrey, a director of Croda International Plc,
exercised an option granted under the Senior Executive Share Option Scheme over
50,000 Croda Ordinary shares of 10p each at an option price of 184p per share.
He sold 7,450 shares at a price of 286p per share.  He transferred 24,841 shares
to his wife, Mrs Susan Patricia Humphrey, who sold 24,841 shares at a price of
286p per share.

On the same date Michael Humphrey exercised an option granted under the Save As
You Earn Share Option Scheme over 2,464 Croda Ordinary shares of 10p each at an
option price of 280p per share.  He sold 2,464 shares at a price of 286p per
share.

All the shares involved in the above transactions represent less than 0.1% of
the issued ordinary share capital of the company.

As a result of these transactions Michael Humphrey has increased his holding by
17,709 ordinary shares and now holds 41,419 ordinary shares which represent less
than 0.1% of the issued ordinary share capital of the company.
