Special Dividend and Share Consolidation
Further to the Company's announcement on 25 April 2019, shareholder approval was granted at the Company's General Meeting on 24 April 2019 to pay a special dividend of 115 pence per share and to undertake an associated share consolidation on the basis of 41 new ordinary shares for every 42 existing ordinary shares.
Issue of Ordinary Shares and Cancellation of Treasury Shares
As described in the Company's announcement on 25 April 2019, in order to ensure that the number of existing ordinary shares of the Company is exactly divisible by 42, the Company intended to issue 16 ordinary shares of 10.357143 pence each to the Croda International Plc Employee Benefit Trust and to cancel 2 ordinary shares held in treasury.
These shares have now been issued and were admitted to the premium listing segment of the Official List and admitted to trading on the London Stock Exchange's main market for listed securities at 08.00am UK time today. Two ordinary shares held in treasury were also cancelled with effect from 08.00am UK time today.
Voting Rights and Share Capital
Following the admission of the 16 ordinary shares and the cancellation of the 2 ordinary shares held in treasury, the Company has 135,124,122 ordinary shares of 10.357143 pence each in issue, of which 3,329,172 shares are held in treasury.
The figure of 131,794,950 ordinary shares may therefore be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure Guidance and Transparency Rules.
